Negotiating an investment agreement with the State

The investment agreement with the State determines eligibility for the support schemes of the Investment Charter. Framework Law No. 03-22 indeed makes these schemes conditional on an agreement setting out reciprocal commitments. The agreement then governs the programme for several years. The checklist therefore prepares the negotiation ahead of submission.

Checklist points for negotiating an investment agreement with the State

  • Scoping of the project and targeted Charter scheme.
  • Basis and amount of the premiums.
  • Investment and employment commitments.
  • Commitments of the State in return.
  • Monitoring, deviations and repayment: in particular consequences of a delay.
  • Stability and dispute resolution.
  • Finally, preparation of the negotiation and signature decision.

When to prepare the investment agreement with the State

The checklist serves first before the application is submitted to the competent bodies. It also serves during the negotiation of the commitments. Furthermore, it prepares follow-up after signature.

Moroccan and foreign investors are in particular its intended readers. The document also concerns finance and legal departments.

Instructions for use

The checklist is first completed before the application is submitted, on the basis of the investment programme. The investor then costs and dates the proposed commitments. Furthermore, the investor examines the consequences of a deviation before signature. Finally, the preparation of the negotiation sets the priority points, the margins and the fallback position.

Expected outcome

At the end of the process, the investor has a costed and dated negotiating position. The consequences of deviations are clearly identified. Consequently, the signed agreement corresponds to a realistic programme whose commitments can be met and justified.
